Effective date: April 1, 2024

This Privacy Policy describes how River Guide Labs, LLC (“River Guide Labs,” “we,” “us” or “our”) collects, uses and protects personal information in connection with this website, riverguidelabs.com (the “Site”), and when you contact us. By using the Site or contacting us you accept this policy.

Securities are offered through Finalis Securities LLC, Member FINRA / SIPC. Finalis Securities LLC and River Guide Labs, LLC are separate, unaffiliated entities. If you become a client or prospective client of securities services, Finalis’s own privacy notice also applies to the information you provide in that relationship: finalis.com/privacy.

1. Personally identifiable information

The Site has no accounts or sign-up. We receive personal information only when you choose to send it to us, for example through the contact form on the Site, by email, or by completing the privacy request form described below. That information typically includes your name, email address, telephone number, company, and whatever you tell us about your inquiry.

We do not sell your personal information. We use it to respond to your inquiry, to evaluate and administer any engagement, to meet legal and regulatory obligations, and to communicate with you. We may share it with service providers who help us run our business (for example email, file storage and website hosting) under confidentiality obligations, and with licensed firms we work with on a transaction only as needed for that transaction and subject to appropriate confidentiality terms.

Please do not send confidential documents, account numbers, government identification numbers or other sensitive information through the Site or by email until we have confirmed an NDA is in place.

2. Cookies and similar technologies

We do not use advertising cookies or run our own analytics tools. The Site is hosted by WordPress.com (Automattic Inc.), which processes standard request and security logs (such as IP address and browser details), may set cookies needed to operate and secure the Site, and may collect aggregate site statistics. Information you enter in the contact form is processed by that platform and delivered to us. You can set your browser to refuse cookies; the Site should still work. We do not respond to “Do Not Track” signals because we do not track visitors across other sites.

3. Security

We use reasonable administrative, technical and physical measures appropriate to the type of information and applicable law, and we rely on established third-party providers for email, storage and hosting. No system is impenetrable, and we cannot guarantee absolute security. If you believe your communications with us have been compromised, please notify us promptly at the email address below.

4. Confidentiality

We protect personal information against unauthorized use and disclosure. We disclose it only where necessary to comply with law or legal process, to protect our rights or property or those of others, to enforce our agreements, to prevent liability, or to investigate claims. If River Guide Labs is involved in a merger, acquisition, financing or sale of assets, personal information may be transferred as part of that transaction, subject to continued protection.

5. Rights to access, correct, delete and limit use of your information

You may ask us what personal information we hold about you, to correct it, to delete it, or to limit how we use or disclose it. Send your request to legal@riverguidelabs.com or use the form below. We will respond within a reasonable time and within the periods required by applicable law.

6. Retention

We keep personal information for as long as needed for the purposes described above and as required by applicable recordkeeping laws and regulations, then delete or de-identify it. Where Finalis Securities LLC is required to retain communications or records, those requirements apply independently.

7. Required disclosures

We may disclose personal information in response to lawful requests by public authorities, including to meet national security or law enforcement requirements, and to regulators and self-regulatory organizations with jurisdiction over us or our affiliated licensed firms.

8. Use of third parties

We engage third-party service providers to operate and support the Site and our business, including email, document storage and hosting. They may use your information only to provide services to us and not for their own purposes.

9. Your choices

We share personal information only as described in this policy. To restrict sharing or opt out of our communications, contact us at the email address below. Restrictions may limit our ability to respond to your inquiry or provide services.

10. Changes to your information

You may update or correct your information or communication preferences at any time by contacting us.

11. Children

The Site and our services are intended for businesses and accredited or institutional investors. They are not directed to anyone under 18, and we do not knowingly collect personal information from children.

12. Updates to this policy

We may update this policy from time to time. Changes are effective when posted on this page, and the effective date above will be revised. Continued use of the Site after a change means you accept the updated policy.

13. Notice for California residents

If you are a California resident, the California Consumer Privacy Act (as amended) gives you the following rights. We do not sell or share your personal information as those terms are defined under California law.

  • Right to know: the categories of personal information we collected about you, the sources, the business purposes, the categories of third parties we disclosed it to, and, on request, the specific pieces we hold, for the past 12 months.
  • Right to access: a copy of the personal information we collected about you.
  • Right to delete: deletion of personal information we collected from you, subject to legal exceptions.
  • Right to correct: correction of inaccurate personal information.
  • Right to non-discrimination: we will not treat you differently for exercising these rights.

How to submit a request. Email legal@riverguidelabs.com or use the request form. To protect your information we verify your identity by matching details you provide against what we hold, and we may ask for additional verification, including government identification or a declaration under penalty of perjury. An authorized agent must provide a valid California Probate Code power of attorney or your signed written permission. We may deny a request where the law allows.
